1When a person sells landed property or movable property to a colleague and someone acquires the property on the purchaser’s behalf without the purchaser’s knowledge,1 the option is given to the purchaser. If the purchaser desires to acquire the property, the seller cannot retract.2 If the purchaser does not desire to acquire the property, the property returns to its original owner.3אהַמּוֹכֵר שֶׁמָּכַר קַרְקַע אוֹ מִטַּלְטְלִין, וְזָכָה בָּהֶן לַלּוֹקֵחַ שֶׁלֹּא מִדַּעְתּוֹ - יַד הַלּוֹקֵחַ עַל הָעֶלְיוֹנָה: וְאִם רָצָה לּוֹקֵחַ, אֵין הַמּוֹכֵר יָכוֹל לַחֲזֹר בּוֹ; וְאִם לֹא רָצָה, תַּחְזֹר לִבְעָלֶיהָ.
Therefore, a deed of sale can be written for a seller even when the purchaser is not present.4לְפִיכָּךְ כּוֹתְבִין שְׁטָר לַמּוֹכֵר, אַף עַל פִּי שֶׁאֵין הַלּוֹקֵחַ עִמּוֹ.
The purchaser, however, is always required to pay the scribe’s fee.5 This applies even if a person sells his field because it is of inferior quality.6וּלְעוֹלָם הַלּוֹקֵחַ נוֹתֵן שְׂכַר הַסּוֹפֵר, וְאַפִלּוּ מָכַר שָׂדֵהוּ מִפְּנֵי רָעָתָהּ.
2Similarly, when a Canaanite7 servant buys or sells property, or whether he gives a present or a present is given to him, the option is given to the servant’s owner.8 If he desires to perpetuate the servant’s act, the servant’s acts are binding. If the master does not grant his consent, the servant’s acts are nullified entirely.9בוְכֵן הָעֶבֶד שֶׁמָּכַר אוֹ קָנָה אוֹ נָתַן מַתָּנָה, אוֹ נִתְּנָה לוֹ - יַד הָאָדוֹן עַל הָעֶלְיוֹנָה: אִם רָצָה לְקַיֵּם מַעֲשָׂיו, הֲרֵי אֵלּוּ קַיָּמִין; וְאִם לֹא רָצָה, בָּטְלוּ כָּל מַעֲשָׂיו.
The master may perpetuate or nullify the servant’s act with merely a verbal statement. It is not necessary that he confirm his decision with a kinyan.10וּבִדְבָרִים בִּלְבָד הוּא שֶׁמְּקַיֵּם הָאָדוֹן אוֹ מְבַטֵּל, וְאֵינוֹ צָרִיךְ לִקְנוֹת מִמֶּנּוּ כְּלוּם.
3Similarly, when a woman sells or gives a present - whether of property belonging to her husband,11 property defined as nichsei tzon barzel that she brought him,12 property that be designated for her in her marriage contract,13 or property defined as nichsei m’log,14 whether landed property or movable property - the option is given to her husband. This ruling also applies if he purchases property or if she is given a present. If her husband desires to perpetuate the transfer, it is binding. If he desires to nullify it, it is nullified entirely.15גוְכֵן הָאִשָּׁה שֶׁמָּכְרָה אוֹ נָתְנָה מַתָּנָה, בֵּין בְּנִכְסֵי בַּעְלָהּ, בֵּין בְּנִכְסֵי צֹאן בַּרְזֶל שֶׁהִכְנִיסָה לוֹ, בֵּין בִּדְבָרִים שֶׁיִּחֵד לָהּ בִּכְתֻבָּתָהּ, בֵּין בְּנִכְסֵי מְלוֹג, בֵּין בְּקַרְקָעוֹת, בֵּין בְּמִטַּלְטְלִין, וְכֵן אִם לָקְחָה אוֹ נִתַּן לָהּ מַתָּנָה - יַד הַבַּעַל עַל הָעֶלְיוֹנָה: וְאִם רָצָה, לְקַיֵּם – יְקַיֵם; אִם רָצָה לְבַטֵּל, יְבַטֵל הַכֹּל.
Different rules apply when a husband sells or gives away property to which his wife shares a connection - e.g., land that she brought to him that was recorded in her marriage contract,16 land that be designated for her in consideration of goods she brought to the marriage, or property that he designated for her in her marriage contract. Even though the purchaser has the woman confirm her husband’s deeds17 with a kinyan,18 whatever he has done is nullified,19 because she may rationalize her actions, stating: “I did it only to generate satisfaction for my husband.”20אֲבָל הַבַּעַל שֶׁמָּכַר אוֹ שֶׁנָּתַן, בֵּין קַרְקַע שֶׁהִכְנִיסָה לוֹ אִשְׁתּוֹ בִּכְתֻבָּתָהּ, אוֹ קַרְקַע שֶׁהִכְנִיס לָהּ שׁוּם מִשֶּׁלּוֹ, אוֹ קַרְקַע שֶׁיִּחֵד לָהּ בִּכְתֻבָּתָהּ, אַף עַל פִּי שֶׁקָּנוּ מִיַּד הָאִשָּׁה אַחַר שֶׁקִּיְּמָה מַעֲשָׂיו - הֲרֵי כָּל מַה שֶׁעָשָׂה בָּטֵל, מִפְּנֵי שֶׁהִיא אוֹמֶרֶת 'נַחַת רוּחַ עָשִׂיתִי לְבַעְלִי'.
4If the husband sold or gave as a present nichsei m’log, whether landed property or movable property, the option is granted the woman. If she desires to nullify the sale, she may.21 If, however she confirms her husband’s actions, the purchaser acquires the property.22דמָכַר אוֹ נָתַן נִכְסֵי מְלוֹג, בֵּין מְקַרְקְעִין בֵּין מִטַּלְטְלִין - יַד הָאִשָּׁה עַל הָעֶלְיוֹנָה: רָצְתָה לְבַטֵּל, מְבַטְּלָה; וְאִם קִיְּמָה מַעֲשָׂיו, קָנוּ הַלָּקוֹחוֹת.
5The following rule applies when a husband sells movable property that is classified to be nichsei tzon barzel or movable property that he gave his wife from his own property. Although he does not have the right to do so,23 if he transgresses and sells or gives away such property, it is acquired by the purchasers, and his wife may not expropriate it from them.24הבַּעַל שֶׁמָּכַר מִטַּלְטְלִין שֶׁל נִכְסֵי צֹאן בַּרְזֶל אוֹ מִטַּלְטְלִין שֶׁנָּתַן לָהּ מִשֶּׁלּוֹ, אַף עַל פִּי שֶׁאֵינוֹ רַשָּׁאי - אִם עָבַר וּמָכַר אוֹ נָתַן, קָנוּ הַלָּקוֹחוֹת, וְאֵין הָאִשָּׁה יְכוֹלָה לְהוֹצִיא מִיָּדָם.
Similarly, the husband has the right to sell all of his property, even though it is under lien to his wife’s marriage contract. If she is later granted the right to expropriate the property,25 she will expropriate it.26 This applies unless she first27 wrote a disclaimer for the purchaser,28 and confirmed it with a kinyan.וְכֵן יֵשׁ לוֹ לַבַּעַל לִמְכֹּר כָּל נְכָסָיו, אַף עַל פִּי שֶׁהֵן תַּחַת שִׁעְבּוּד הַכְּתֻבָּה; וְאִם תָּבוֹא לִטְרֹף, טוֹרֶפֶת, אֶלָא אִם כֵּן כָּתְבָה לַלּוֹקֵחַ תְּחִלָּה, וְקָנוּ מִיָּדָהּ.
6When a woman sells or gives nichsei tzon barzel29 to her husband, he does not acquire the property. Instead, she may expropriate it from him, as explained in Hilchot Ishut.30והָאִשָּׁה שֶׁמָּכְרָה אוֹ נָתְנָה נִכְסֵי צֹאן בַּרְזֶל לְבַעְלָהּ, לֹא קָנָה; וְיֵשׁ לָהּ לַחֲזֹר וּלְהוֹצִיא מִיָּדוֹ, כְּמוֹ שֶׁבֵּאַרְנוּ בְּהִלְכוֹת אִישׁוּת.
When a court sells or purchases property on behalf of orphans31 - whether landed property or movable property - both the purchase and sale are binding. If, however, it gives the orphans’ property away as a present, the gift is of no consequence. The rationale is that a person may not give away something that does not belong to him.32 The same principles apply with regard to an orphan’s guardian, whether a guardian appointed by the court or one appointed by the orphan’s father before his death.בֵּית דִּין שֶׁמָּכְרוּ אוֹ שֶׁלָּקְחוּ בְּנִכְסֵי יְתוֹמִים, בֵּין בְּקַרְקַע בֵּין בְּמִטַּלְטְלִין, וְכֵן הָאַפּוֹטְרוֹפּוֹסִין, בֵּין שֶׁמִּנּוּ אוֹתָם בֵּית דִּין בֵּין שֶׁמִּנָּה אוֹתָן אֲבִי יְתוֹמִים - מִקָּחן מִקָּח, וּמִמְכָּרָן מִמְכָּר; אֲבָל מַתָּנָתָם אֵינָהּ כְּלוּם, שֶׁאֵין אָדָם נוֹתֵן דָּבָר שֶׁאֵינוֹ שֶׁלּוֹ.
7When a person sells or gives away property on the Sabbath33 - and needless to say, on the holidays34 - although he is punished by stripes,35 his deeds are binding.36 Similarly, when a person enters into a kinyan chalifin37 on the Sabbath, the kinyan is binding. After the Sabbath, a legal record may be composed and the property transferred.זהַמּוֹכֵר אוֹ הַנּוֹתֵן בְּשַּׁבָּת, וְאֵין צָרִיךְ לוֹמַר בְּיוֹם טוֹב, אַף עַל פִּי שֶׁמַּכִּין אוֹתוֹ - מַעֲשָׂיו קַיָּמִין. וְכֵן כָּל מִי שֶׁקָּנוּ מִיָּדוֹ בַּשַּׁבָּת - הַקִּנְיָן קַיָּם, וְכוֹתְבִין לְאַחַר הַשַּׁבָּת וְנוֹתְנִין.
Blessed be the Merciful One Who grants assistance.בְּרִיךְ רַחֲמָנָא דְּסַיְּעָן

See Hilchot Zechiyah UMatanah 4:2, which explains that when a person wants to give a present to a colleague, that person can act on the recipient’s behalf without the recipient’s knowledge. Since it is an advantage for him, we assume that the recipient would desire to receive the property, and de facto, it is considered as if the person were appointed as the recipient’s agent.

For property acquired by an agent is considered as if it has been acquired by the principal. Thus, the transaction has been finalized.

When citing this ruling, the Shulchan Aruch (Choshen Mishpat 238:1) adds the comments of the Tur, which state that this law applies only when the witnesses saw the recipient of the field (or his agent) acquire the field through a valid kinyan, or when the seller testifies that it was acquired through a valid kinyan.
Sefer Me’irat Einayim explains that the Tur’s ruling is intended to negate an opinion that maintains that when the witnesses sign the deed of sale, they effect the transfer of the property. In Hilchot Malveh V’Loveh 23:5, the Rambam states that a contract of loan can be written for the lender even though the borrower is not present, only when the contract contains a kinyan - otherwise, it is forbidden to write such a contract, lest the loan not have been given and the date thus be incorrect. Nevertheless, here and in Hilchot Malveh V’Loveh 24:1, the Rambam does not make such a statement with regard to a deed of sale.

In which instance, it is to the seller’s benefit for the sale to be finalized. Nevertheless, the responsibility for paying for the deed of sale is the purchaser’s.

A Canaanite servant does not have an independent financial capacity. Whatever he owns or acquires belongs to his master. Moreover, he cannot acquire anything - even for his master - on his own initiative alone; his master must approve his actions.
The master is not, however, obligated to accept his servant’s acts. If he desires to confirm his servant’s act, retroactively, the kinyan performed by the servant is binding. If he does not, the servant’s act is of no consequence.

With regard to a purchase, the money that was given for the purpose must be returned.

This refers both to the acceptance and to the rejection of the servant’s act. The owner need not perform a kinyan to acquire the object if he desires to confirm the servant’s act, nor must the original owner of the object perform a kinyan to regain possession of it, if the servant’s master decides to nullify his deeds. (See Sefer Me’irat Einayim 235:54.)

As the Rambam states in Hilchot Ishut 16:1, nichsei tzon barzel refers to property owned by a woman that she brings to her new home and for which her husband takes responsibility, promising to return its cash value to his wife in the event of his death or divorce.

With regard to property that belongs to the woman, she would have the right to sell it. Nevertheless, part of the financial dimensions of the marriage contract is that a woman’s husband is given full control of all property that she owns. Therefore, unless he consents to the sale, it is nullified.

This applies to property designated as nichsei tzon barzel. [See the Rambam’s Commentary on the Mishnah (Bava Batra 3:5).] The laws governing property designated as nichsei m’log are stated in the following halachah.

If, however, the woman agreed to the sale of the property first, and then the husband performed the sale, the sale is binding. (See Halachah 5.) Similarly, if she writes a legal document taking responsibility for the property, the sale is binding.

The Maggid Mishneh states that the sale is nullified immediately and is not binding at all. In his Commentary on the Mishnah (Gittin 5:5), the Rambam appears to rule differently, staling that when the woman comes to claim the money due her by virtue of her marriage contract (i.e., at her husband’s death or the couple’s divorce), the property is granted to the woman. Implied is that until then, it remains in the possession of the purchaser. From the Rambam’s ruling in Hilchot lshut 22:15, it would appear that he changed his perspective and followed the approach mentioned by the Maggid Mishneh.

A second kinyan is not required. Retroactively, we consider the husband to have acted as the woman’s agent.
With regard to nichsei m’log, we do not say that a woman can claim that she agreed to a sale conducted by her husband in order to grant him satisfaction. The rationale is that he has no claim to the ownership of this property at all, and he would not be justified in pressuring his wife to agree to its sale.
With regard to nichsei tzon barzel, by contrast, since the husband has already guaranteed to pay the woman the value of the property, she might acquiesce to his demands in order to preserve peace within the home. Therefore, our Sages protected her rights.

23.

For in the event of her husband’s death or the couple’s divorce, the woman has the right to receive these goods themselves.

The rationale is that unlike the case with landed property, the woman does not expect that she is certain to receive this movable property, for movable property is subject to destruction. As the Maggid Mishneh states. this view is not accepted by all authorities.

Our Sages enacted certain provisions because they were aware that women did not like appearing in court and would at times forfeit claims rather than do so. Nevertheless, in this instance, they felt that it was preferable not to enforce this restriction, because it is possible that the man’s estate will have the money to meet his obligation.
